Important: Ordering.Tools is a software platform provided by Reservation Ltd. We are not a restaurant, food provider, marketplace, or delivery service. Venue Operators (restaurants, bars, clubs, beaches, pubs, and other hospitality businesses) are independent businesses solely responsible for their products, services, and operations. End-Customers order directly from the Venue and pay directly to the Venue.
1. Definitions
“Ordering.Tools” or “the Platform” — the online ordering and venue management software platform accessible at ordering.tools and associated domains, operated by Reservation Ltd.
“Reservation Ltd.” (“we”, “us”, “our”) — Bulgarian limited liability company (EOOD), EIK 203865762, registered office: Varna, P. Raichev St. 1A, Bulgaria. Same legal entity that operates the sister product Reservation.Tools.
“Venue Operator” or “Merchant” — any business or entity that subscribes to the Platform to publish digital menus and accept online orders. Includes restaurants, bars, clubs, beach establishments, pubs, hotels, and other hospitality businesses.
“Venue” — the physical or operational unit (location) operated by a Venue Operator and represented in the Platform.
“End-Customer” — any person who accesses a Venue's ordering page powered by the Platform to browse menus, place orders, or interact with the Venue's digital presence.
“Platform Services” — the technology, software, and infrastructure provided by Reservation Ltd. to facilitate digital menus, online ordering, and related management tools.
“Free Tier” — the no-cost level of Platform Services available to Venue Operators, with feature limitations defined in the pricing page.
“Subscription” — any paid plan offered by Reservation Ltd. above the Free Tier.
2. Nature of the Platform
Ordering.Tools is a technology platform. We provide software tools that enable Venue Operators to create digital menus and receive online orders directly from their End-Customers.
Reservation Ltd. is not a restaurant, food provider, delivery service, or marketplace. We do not prepare, sell, supply, or deliver any food, beverages, or goods. We do not employ delivery drivers, couriers, or other service personnel. We do not process payments as a merchant of record (see Section 9).
Reservation Ltd. is not an agent, representative, or partner of any Venue Operator. Venue Operators are independent businesses that use our technology under these Terms.
When an End-Customer places an order through a Venue's ordering page, the legal contract for that transaction is formed exclusively between the End-Customer and the Venue Operator. Payment is made directly to the Venue (via the Venue's own payment provider account). Reservation Ltd. is not party to that contract under any circumstances.
3. Account Registration and Free Tier
Venue Operators may register an account at no cost. The Free Tier provides core menu publishing and limited ordering features as described on the pricing page.
The Free Tier is available indefinitely. We do not automatically delete accounts when paid Subscriptions end — accounts downgrade to the Free Tier and remain active until you request deletion. This applies to both Subscription cancellation and non-renewal.
Account holders must:
- Provide accurate registration information and keep it current
- Maintain the confidentiality of their credentials
- Be of legal age to enter binding contracts under Bulgarian law (18+)
- Not share account access with unauthorised third parties
- Notify us promptly of any unauthorised access at [email protected]
Persons acting on behalf of an entity warrant they have full authority to bind that entity to these Terms.
4. Subscriptions, Pricing, and Auto-Renewal
Subscription plans, prices, billing intervals (monthly or annual), and feature inclusions are published on the Ordering.Tools pricing page and are incorporated into these Terms by reference.
Subscriptions are billed in advance via Stripe Billing using the payment method you provide at checkout. Invoices are issued in EUR or your local equivalent and sent by email.
Auto-renewal: Subscriptions automatically renew at the end of each billing cycle at the then-current price unless cancelled before the renewal date. We will notify you by email before annual renewals.
Price changes: We may change Subscription prices with at least 30 days' written notice. If you do not agree, you may cancel before the new price takes effect. Continued use after the change indicates acceptance.
Failed payments: If a payment fails, we will retry automatically and notify you. Continued payment failure may result in suspension or downgrade to the Free Tier — your data is preserved.
5. Cancellation (One-Click Right under Directive 2023/2673)
You may cancel your Subscription at any time directly from your account dashboard via the "Cancel Subscription" button (Settings → Billing). Cancellation is processed immediately and confirmed by email. No phone calls, support tickets, or written notices are required.
This complies with EU Directive 2023/2673, which mandates a clear and easy cancellation mechanism for online contracts.
Effect of cancellation:
- Cancellation takes effect at the end of the current billing period — you keep paid features until then.
- After expiry, the account automatically downgrades to the Free Tier. Your account, menu, customers, and order history are preserved.
- You may also request full account deletion via [email protected] — see the Privacy Policy on the right to erasure.

6. Refunds and Right of Withdrawal
EU consumer right of withdrawal (14 days): Where applicable under the EU Consumer Rights Directive, consumers may withdraw from a paid Subscription within 14 days of activation, without giving a reason, by emailing [email protected]. Refunds are issued within 14 days of withdrawal notice.
By starting to use paid features within the 14-day period, you expressly consent to performance during the withdrawal period and acknowledge that your right of withdrawal is lost once the service has been fully performed (Art. 16(m) of the Consumer Rights Directive).
B2B accounts: Subscriptions purchased in the course of a business or profession are not subject to the consumer withdrawal right. For mid-cycle cancellations, no pro-rata refunds are issued unless required by mandatory law.
Plan upgrades: When upgrading mid-cycle, the unused portion of the prior plan is credited against the new plan. Each started calendar month counts as used.
7. Venue Operator Responsibilities
Venue Operators are solely and exclusively responsible for:
- The accuracy, completeness, and legality of all menu items, descriptions, prices, allergen information, and other content displayed on their pages.
- The preparation, quality, safety, and hygiene of all food and beverages.
- Fulfilling orders — preparation, delivery, pickup coordination, and dine-in service.
- Compliance with all applicable food safety, hygiene, licensing, alcohol-sale, trading standards, data protection, tax, and consumer protection laws in their jurisdiction.
- Handling End-Customer complaints, refunds, and disputes relating to orders, food quality, or services.
- Acting as data controller for End-Customer personal data collected through their ordering pages and complying with GDPR — including publishing their own privacy policy and responding to data subject rights requests.
- All tax obligations (including VAT) arising from sales made through their ordering pages.
- Maintaining their own payment provider accounts (Stripe, MyPOS, Borica) and complying with the respective providers' terms.
- Securing their own accounts, including strong passwords, role assignment, and prompt removal of departed staff.
Reservation Ltd. does not supervise, monitor, or control the business practices of Venue Operators and makes no warranties about the quality, safety, suitability, or legality of any Venue's products or services.
8. End-Customer Acknowledgements
By using a Venue's ordering page powered by the Platform, End-Customers acknowledge and agree that:
- They are transacting directly with the Venue Operator, not with Reservation Ltd.
- Any issues — incorrect items, late delivery, missing items, food quality, refunds — must be resolved directly with the Venue Operator.
- Reservation Ltd. has no ability to cancel, modify, or fulfil orders placed with Venue Operators.
- Reservation Ltd. does not guarantee the availability, accuracy, or quality of any product or service offered by a Venue.
- Personal data they provide (name, email, phone, delivery address) is shared directly with the Venue, who is the data controller.
- Payments are made directly to the Venue's own payment provider account — Reservation Ltd. is not the merchant of record.
9. Payments — Facilitator Model
Where online payments are enabled by a Venue, payment processing is handled by third-party payment processors connected to the Venue's own merchant account:
- Stripe (Connect Standard): Direct Charges to the Venue's Stripe account.
- MyPOS: Embedded checkout against the Venue's MyPOS Store ID.
- Borica APGW: Bulgarian bank card processing via the Venue's acquiring bank.
Reservation Ltd. does not collect, store, or process payment card data. We are not the merchant of record. All transactions are processed directly between the End-Customer and the Venue's own payment account. Each payment processor's terms apply to its respective transactions.
For failed payments, incorrect charges, or disputes, End-Customers should contact the Venue directly. Reservation Ltd. is not liable for losses from payment processing errors, fraud, or unauthorised transactions facilitated through third-party payment systems.
Reservation Ltd. uses Stripe Billing separately for collecting Subscription fees from Venue Operators. This is unrelated to End-Customer order payments.
10. Allergens, Dietary, and Health Information
Allergen, dietary, and nutritional information displayed on ordering pages is provided entirely by Venue Operators. Reservation Ltd. does not verify, validate, or guarantee its accuracy.
End-Customers with food allergies or dietary requirements should always contact the Venue directly before placing an order to verify suitability. Reservation Ltd. accepts no liability for allergic reactions, dietary issues, or health consequences arising from food or beverages ordered through the Platform.
11. Intellectual Property
The Ordering.Tools Platform — including software, design, trademarks, brand assets, and documentation — is owned by Reservation Ltd. and protected by intellectual property laws. You may not copy, reproduce, modify, decompile, reverse-engineer, or create derivative works from the Platform without our prior written permission.
Content uploaded by Venue Operators (menus, images, descriptions) remains the property of the respective Venue. By uploading content, Venue Operators grant Reservation Ltd. a limited, worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and process the content solely as required to provide the Platform Services.
You may not use robots, spiders, scrapers, or other automated means to access or copy Platform content without prior permission, except for legitimate search engine indexing.
12. Acceptable Use
You may not use the Platform to:
- Conduct fraudulent, unauthorised, or illegal activity
- Defame, abuse, harass, stalk, threaten, or violate the rights of others
- Upload content you lack the legal right to share (confidential, infringing, or stolen material)
- Send unsolicited marketing communications ("spam") via SMS, push notifications, or email beyond what is legally permitted under Bulgarian and EU law
- Impersonate persons or entities or misrepresent affiliations
- Interfere with the Platform's operation, attempt unauthorised access, or transmit viruses or other harmful code
- Frame, mirror, or scrape Platform content without prior written consent
- Use the Platform to support businesses prohibited under sanctions law
We may suspend or terminate accounts for violations after reasonable notice, except for serious violations where immediate action is necessary.
13. Availability and Service Levels
We make reasonable efforts to maintain Platform availability but do not guarantee uninterrupted or error-free service. The Platform may be temporarily unavailable for maintenance, upgrades, or circumstances beyond our control.
Planned maintenance windows are announced in advance via in-app notice or email. Force-majeure events, third-party provider outages, and the End-Customer's internet connectivity are excluded from availability considerations.
The Platform is provided "as-is" and "as-available". Use is at your own risk.
14. Data Portability and Switching Providers (EU Data Act)
In accordance with the EU Data Act (Regulation 2023/2854):
- Data export on request: Venue Operators may request a complete export of menu, customer, and order data in a structured, machine-readable format (CSV/JSON) at any time, delivered within the timeframes required by the EU Data Act.
- Maximum exit notice: 60 days. No contractual provision binds Venues beyond this period.
- Switching fees: Only fees not exceeding actual switching costs may apply, and none after the date set by the EU Data Act (January 2027).
- Continued service during exit: Full Platform access during the notice period.

15. Suspension and Termination by Reservation Ltd.
We may suspend or terminate access for:
- Material breach of these Terms (with reasonable notice and opportunity to cure where appropriate)
- Non-payment of Subscription fees beyond a reasonable retry period
- Use that violates applicable law or third-party rights
- Activity threatening the security or integrity of the Platform or its users
- Discontinuation of the Platform with at least 30 days' notice (or a longer period where required by applicable law)
Following termination, you may request data export per Section 14 within 60 days. After this period, we may delete your data subject to legal retention obligations.
16. Limitation of Liability
To the fullest extent permitted by applicable law, Reservation Ltd. shall not be liable for:
- Any act or omission of a Venue Operator — including food quality, order accuracy, delivery failure, hygiene, customer service
- Loss or damage from reliance on information provided by a Venue through the Platform
- Indirect, consequential, special, incidental, or punitive damages
- Loss of profits, revenue, data, or business interruption
- Claims arising from a Venue's handling of End-Customer personal data
- Losses from third-party payment processing or financial transactions
- Failures or delays caused by force-majeure events
Where liability cannot be fully excluded by law, our total aggregate liability to any party shall not exceed the greater of: (a) the total Subscription fees paid by the relevant Venue Operator to Reservation Ltd. in the preceding six (6) months, or (b) one hundred euros (€100).
Mandatory consumer rights preserved: Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Bulgarian or applicable EU consumer law (including the Bulgarian Consumer Protection Act).
17. Indemnification
Venue Operators agree to indemnify, defend, and hold harmless Reservation Ltd. and its directors, employees, and agents from claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of:
- Their use of the Platform
- Content they publish on the Platform
- Their products, services, or operations
- Their violation of these Terms or applicable laws
- Claims brought by End-Customers arising from their products or services
- Their handling of End-Customer personal data
18. Force Majeure
Reservation Ltd. is not liable for non-performance or delays caused by events beyond reasonable control, including: strikes, riots, war, terrorism, fire, floods, earthquakes, epidemics, transport failures, telecommunications outages, internet/power failures, acts of government, court orders, or third-party-provider defaults (e.g., AWS, Stripe, Cloudflare). Performance is suspended for the duration of the event.
19. Third-Party Services
The Platform may contain links to or integrations with third-party services (payment processors, SMS gateways, analytics, etc.). Reservation Ltd. does not control these and is not responsible for their content, privacy practices, or availability. Use is at your own risk and subject to those providers' respective terms.
20. Digital Services Act — Content and Complaints
In compliance with EU Regulation 2022/2065 (Digital Services Act):
- Venue Operators are responsible for the content they upload (menus, images, descriptions) and must ensure it complies with applicable law.
- To report illegal content, infringement, or Terms violations, contact [email protected]. Notices should identify the content, location, and reason.
- We will review notices in good faith and take action where warranted (removal, account suspension, or escalation to authorities).
- Affected Venues may appeal moderation decisions by replying to our action notice. We provide a clear statement of reasons for any restriction.
21. Modifications to These Terms
We may update these Terms to reflect new features, market conditions, or legal requirements. Material changes are notified to Venue Operators by email and/or in-platform notice at least 30 days before they take effect. Non-substantial changes (typo corrections, contact updates) are published directly with an updated effective date.
If you do not agree with material changes, you may terminate your account before the changes take effect, in which case the prior Terms continue to govern your account until termination.
22. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Bulgaria and, where applicable, EU law. Any disputes are subject to the exclusive jurisdiction of the competent courts in Varna, Bulgaria, except where mandatory consumer protection laws applicable in your country of residence provide otherwise.
EU consumers retain all mandatory consumer protection rights granted by their member-state law, which these Terms do not override.
Out-of-court dispute resolution: The EU Online Dispute Resolution platform was discontinued in July 2025. EU consumers may contact the relevant national consumer protection authority. In Bulgaria: Commission for Consumer Protection (CCP), kzp.bg.

23. Assignment
You may not assign or transfer these Terms or any granted rights without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets, with notice to you.
24. Data Processing Agreement
For Venue Operators, the Data Processing Agreement (DPA) governs Reservation Ltd.'s processing of End-Customer personal data on the Venue's behalf. The DPA is incorporated into these Terms by reference and accepted upon registration. The current DPA is available on request from [email protected].
